These Terms and Conditions ("Terms") govern your access to and use of the Kavinoq platform and website at kavinoq.com, operated by Kavinoq ("we," "us," or "our"). By accessing the platform or website, you agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Definitions
- "Platform" — the Kavinoq learning management system, including all associated software, features, and services.
- "Institution" — the organisation (school, university, company, or training provider) that has entered into a subscription agreement with Kavinoq.
- "Authorised User" — any individual (administrator, instructor, or learner) granted access to the Platform by the Institution.
- "Subscription" — the recurring licence agreement between an Institution and Kavinoq, as detailed in the applicable order or agreement document.
- "Tenant" — the Institution's isolated environment within the Platform, containing its users, courses, and data.
2. Licence Grant
Subject to these Terms and timely payment of applicable fees, Kavinoq grants the Institution a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its own internal educational and training purposes during the Subscription term.
This licence does not permit the Institution to sublicence, resell, or provide access to the Platform to third parties outside of its own authorised user base, except as expressly permitted in writing by Kavinoq.
3. Subscription & Payment
Access to the Platform requires a valid Subscription. Subscription terms, fees, and billing frequency are set out in the applicable order or agreement document. Fees are due in accordance with that document.
In the event of non-payment, Kavinoq reserves the right to suspend access to the Platform following reasonable notice. Kavinoq will not be liable for any loss or disruption resulting from suspension due to non-payment.
All fees are exclusive of applicable taxes. Institutions are responsible for any taxes imposed on their use of the Platform in their jurisdiction.
4. Authorised Use & Conduct
The Platform is provided exclusively for educational, training, and learning management purposes. Institutions and Authorised Users agree to use the Platform in accordance with these Terms and applicable law.
The following are expressly prohibited:
- Using the Platform to distribute unlawful, defamatory, or harmful content.
- Attempting to gain unauthorised access to any other tenant's environment or data.
- Reverse engineering, decompiling, or attempting to extract source code from the Platform.
- Using the Platform to conduct activities that violate applicable laws or regulations.
- Harassment, discrimination, or abusive conduct toward any user.
Kavinoq reserves the right to suspend or terminate access for any Institution or Authorised User found to be in violation of these Terms, without refund.
5. Institution Responsibilities
The Institution is responsible for:
- Managing its Authorised Users, including provisioning, deprovisioning, and ensuring compliance with these Terms.
- All content uploaded to the Platform, including ensuring it does not infringe third-party intellectual property rights or violate applicable law.
- Maintaining the confidentiality of its administrator credentials.
- Notifying Kavinoq promptly of any suspected security incidents involving the Institution's Tenant.
6. Intellectual Property
The Platform, including all software, interfaces, documentation, and design, is and will remain the exclusive intellectual property of Kavinoq. Nothing in these Terms transfers ownership of the Platform or any Kavinoq intellectual property to the Institution.
The Institution retains ownership of all content it creates and uploads to the Platform ("Institution Content"), and all data generated by its Authorised Users within its Tenant. Kavinoq does not claim any ownership interest in Institution Content.
The Institution grants Kavinoq a limited, non-exclusive licence to store and process Institution Content solely as necessary to provide the Platform services.
7. Data & Privacy
Each Institution's Tenant is architecturally isolated. No Institution can access another Institution's data, users, or content through the Platform.
Kavinoq processes personal data in accordance with its Privacy Policy. For the purposes of applicable data protection law, the Institution is the data controller for its Authorised Users' personal data; Kavinoq acts as a data processor on the Institution's behalf.
Where required by law, the parties may enter into a separate Data Processing Agreement.
8. Disclaimers & Limitation of Liability
The Platform is provided "as is" with commercially reasonable availability commitments as specified in the applicable subscription agreement. Kavinoq does not warrant that the Platform will be error-free, uninterrupted, or free from security vulnerabilities, and makes no guarantees regarding specific learning outcomes or business results.
To the maximum extent permitted by applicable law, Kavinoq's total liability to an Institution for any claim arising out of or relating to these Terms or the Platform shall not exceed the total subscription fees paid by that Institution in the twelve months preceding the claim.
In no event shall Kavinoq be liable for indirect, incidental, consequential, or punitive damages, even if advised of their possibility.
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms that cannot be resolved by good-faith negotiation between the parties shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with applicable arbitration rules.
10. Modifications to These Terms
Kavinoq may modify these Terms from time to time. We will provide at least 30 days' notice of material changes via email to the Institution's registered contact address. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms.
